1. Introduction:

This document constitutes the Terms and Conditions (“Agreement”) governing all websites, products, and services (“Services”) owned and operated by Hodgkinson Publishing Ltd (“we”, “us”, or “our”).  By accessing or using our Websites or Services you agree to be bound by this Agreement. If you do not agree, discontinue use immediately.

2. Definitions:

• Visitor: anyone who browses our Website.
• Member: a registered user of our Website or Services.
• User: collectively, Visitors and Members.
• Product: any physical or digital item we sell or give away.
• Content: all text, information, graphics, designs, data, software, or media offered through our Website or Services, whether produced by us or by Members (“Member Content”).

The language shall be English. There shall be one arbitrator.  The arbitrator’s decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

This Agreement and any dispute or claim (contractual or otherwise) are governed by the laws of England and Wales.  For overseas buyers, enforcement will also comply with applicable U.S. federal and state e-commerce laws.

7. Limited License:

We grant you a non-exclusive, non-transferable, revocable license to access and use our Website and Services for your internal business purposes, subject to this Agreement and any specific license terms.  No portion may be used in litigation or arbitration except as expressly authorized.

8. Legal Compliance:

You agree to comply with all applicable domestic and international laws, regulations, and ordinances concerning your use of our Website, Content, Services, and any provided software.

9. Relationship:

Nothing in this Agreement creates an agency, partnership, joint venture, or employment relationship between you and Hodgkinson Publishing Ltd.

10. Intellectual Property:

All trademarks, service marks, logos, and other intellectual-property rights on our Websites belong to Hodgkinson Publishing Ltd or respective owners.  Our Content—including layouts, code, software, graphics, and product packaging—is protected by copyright and may not be copied, redistributed, or published without written consent.

11. Eligibility & Registration:

• Use of our Services is limited to individuals 18 years or older.
• Registration is non-transferable. You are responsible for maintaining password confidentiality and all activities under your account.
• Notify us immediately of any unauthorized access.
• We reserve the right to accept or refuse membership at our sole discretion.
  

Proprietary Materials and Membership Refund Policy: Because membership materials may include licensed content and other proprietary training, all sales are final once access is granted, except as described under our Refund Policy.  Review all product details carefully before purchase. 12. Errors, Corrections & Changes:

We do not warrant our Websites or Services to be error-free or uninterrupted and reserve the right to modify or discontinue them without notice.

14. Warranty Disclaimer:

• We disclaim all express or implied warranties, including merchantability and fitness for purpose.
• We make no earnings or results guarantees—examples are illustrative only.

15. Limitation of Liability:

To the fullest extent permitted by law, Hodgkinson Publishing Ltd and its officers, employees, and agents are not liable for any indirect, consequential, incidental, or punitive damages, including loss of profits, data, or goodwill.  Our total liability shall never exceed the amount you paid to us for the relevant Product or Service within the 30 days preceding the event giving rise to liability.  Nothing herein excludes liability for death, personal injury, fraud, or fraudulent misrepresentation.

16. Member Conduct & Acceptable Use:

A. General Standards - Members may post or upload Member Content to our Website. You acknowledge that such content may be visible to others and that we are not liable for third-party postings. We may remove or restrict access to any content at our discretion.

B. Prohibited Member Content - You agree not to upload, post, or transmit any content that:

• Violates any local, state, federal, or international law
• Infringes any patent, trademark, trade secret, copyright, or other proprietary right
• Harms, threatens, defames, promotes violence or illegal activity, or is vulgar, obscene, abusive, harassing, libellous, invasive of privacy, hateful, or otherwise objectionable
• Links to materials you lack rights to link
• Contains private information of others (addresses, emails, credit card numbers, etc.)
• Contains viruses, malware, or code intended to disrupt or extract information;
  
• Constitutes unsolicited advertising, spam, chain letters, or pyramid schemes; or In our sole judgment, restricts or inhibits others’ enjoyment of the Services or exposes Hodgkinson Publishing Ltd or its Users to liability.

C. Use of Company Content - You must not:

• Develop or operate a competing website using our Content
• Create compilations or derivative works (except as permitted by your purchased license)
• Redistribute, resell, license, lease, or otherwise transfer our Content
• Decompile, disassemble, or reverse engineer our software; or
• Use our Website or Services in violation of this Agreement or any law.

17. Use of Information (Your License to Us):

By posting or distributing Member Content, you grant Hodgkinson Publishing Ltd a world-wide, royalty-free, non-exclusive license to use, copy, reproduce, translate, adapt, publish, and display such content for legitimate business purposes, including operation and promotion of our Services.  You represent that you own or control all rights to any material you submit.

18. Unlawful Activity: 

We may investigate violations of this Agreement and report suspected unlawful activity to authorities, disclosing information such as profiles, IP addresses, or usage history where legally required.  We comply with the UK Online Safety Act 2023 and Computer Misuse Act 1990.

19. Linking to Our Website:

You may link to our Website provided you do not frame or obscure it, your site does not contain illegal or pornographic content, and you remove links upon our request.

20. Links to Other Websites:

Our Website may include links to external sites. We are not responsible for their content or privacy practices. Access them at your own risk and review their terms and privacy notices.

21. Payments:

By purchasing from us, you warrant that:

(i) payment information is true and complete;
(ii) charges will be honoured by your payment provider;
(iii) you will pay all applicable charges and taxes; and
(iv) if payment fails, you remain responsible for amounts due and any processor surcharges.

Payment processing may be handled by third parties (e.g., Stripe or PayPal) under their own terms.

22. Refund & Return Policy:

Digital Products & Licensed Content - All digital downloads, software, and licensed content—including PLR, Private Label, Master Label, and White Label materials—are supplied for business use only (B2B).  By purchasing, you confirm you act in a business capacity. Because digital delivery occurs instantly and such items cannot be “returned,” all sales are final once access, download, or delivery has occurred. Refunds are available only for:  Verified duplicate purchases; or Technical delivery failures unresolvable by our support team.  Physical Goods:  Eligible physical merchandise may be returned within 30 days of delivery in original condition for a refund or exchange (shipping costs excluded unless the item is defective or incorrect).

23. Termination of Membership:

• This Agreement remains effective until terminated by either party.
• We may suspend or cancel your membership without notice for breach of these Terms.
• Upon termination, you must delete all non-licensed materials obtained through our Services.
• Termination does not affect previously granted PLR or license rights purchased under separate license terms.
• Provisions concerning copyright, indemnity, limitation of liability, and jurisdiction survive termination.

24. Indemnification:

You agree to indemnify and hold harmless Hodgkinson Publishing Ltd, its officers, employees, contractors, and affiliates from any loss, claim, damage, or expense (including legal fees) arising from your breach of this Agreement or misuse of our Services.

25. Severability & Survival:

If any provision of this Agreement is held invalid, the remainder shall remain in effect and be interpreted to give maximum effect to the parties’ intent.  Our rights and obligations that by their nature should survive termination (including IP and liability limitations) shall do so.

26. Changes to These Terms:

We may update these Terms from time to time. Changes take effect 30 days after posting on our Website or notification by email, whichever occurs first.  Your continued use of our Services after that date constitutes acceptance. If you do not agree, discontinue use before the effective date.  No amendment applies retroactively to pending disputes unless mutually agreed.
